STATERA · TERMS OF SERVICE

These Terms and Conditions govern your use of the Statera website and the provision of compliance awareness programmes and consulting services. By accessing our website or engaging our services, you agree to these terms. These terms are governed by the laws of Malaysia, and disputes fall under the jurisdiction of the courts of Kuala Lumpur.

01 Definitions

In these Terms and Conditions, the following words carry the meanings set out below:

"Agreement"These Terms and Conditions together with any applicable programme confirmation or engagement letter.
"Content"All materials, modules, guides, templates, and reference resources provided by Statera as part of a programme or engagement.
"Engagement"A consulting engagement for the In-House Compliance Awareness Programme Build service.
"Programme"Any of the three awareness programme formats offered by Statera: New Hire Orientation, Quarterly Refresher, or In-House Build.
"Services"All compliance awareness materials, online modules, and consulting services provided by Statera.
"User / You"Any individual or organisation accessing the website or purchasing a Programme.
"We / Us / Our"Statera, registered and operating from Suite 22-08, Q Sentral, Jalan Stesen Sentral 2, 50470 Kuala Lumpur, Malaysia.
"Website"The website accessible at https://stateram.club and all associated pages.

02 Acceptance of Terms

By accessing this Website, submitting an enquiry, or purchasing a Programme, you confirm that you have read, understood, and agree to be bound by these Terms. If you are acting on behalf of an organisation, you represent that you have authority to bind that organisation.

  • You must be at least 18 years of age to use our services
  • You must have the legal capacity to enter into binding agreements under Malaysian law
  • Organisations must ensure that their authorised representative accepts these Terms on their behalf

If you do not accept these Terms, you should not use our website or engage our services.


03 Service Description

Statera provides three compliance awareness programme formats for mid-sized organisations in Malaysia:

  • Awareness Orientation for New Hires — a self-paced online programme covering workplace conduct, code of conduct, document handling, and compliance structure basics (RM 540 per enrolment)
  • Quarterly Compliance Awareness Refresher — a 12-month subscription delivering four quarterly online modules on rotating awareness topics (RM 1,950 per year)
  • In-House Compliance Awareness Programme Build — a consulting engagement to design a custom internal awareness programme architecture (RM 4,200 fixed scope)

Programmes are provided as educational and informational content only. They do not constitute legal, regulatory, or professional compliance advice. Service availability is subject to capacity. We reserve the right to modify, suspend, or discontinue any service with reasonable notice.


04 Access & Accounts

Access to online programme modules is provided following confirmation of payment. Where login credentials are issued, you are responsible for maintaining their confidentiality. Sharing access credentials with individuals who have not been enrolled is not permitted and may result in access termination without refund.

  • Programme access is granted per enrolment or subscription as described in the service specification
  • You must notify us promptly if you suspect unauthorised use of your access credentials
  • We may suspend or terminate access if we have reason to believe credentials are being misused

05 User Responsibilities

By using our website or engaging our services, you agree to:

  • Provide accurate and complete information when submitting enquiries or registering for programmes
  • Use programme content for internal organisational awareness purposes only
  • Not reproduce, redistribute, or repurpose Statera content outside your organisation without written permission
  • Not attempt to circumvent, disable, or interfere with any access controls or security features
  • Not use this website for any unlawful purpose or in violation of applicable Malaysian law

06 Intellectual Property

All content provided through Statera's website and programmes — including module text, scenario frameworks, templates, guides, and reference materials — is the intellectual property of Statera and is protected under applicable Malaysian copyright and intellectual property laws.

Upon payment, you receive a limited, non-exclusive, non-transferable licence to use the content for your organisation's internal awareness purposes during the active programme or subscription period. This licence does not permit:

  • Commercial resale or redistribution of any Statera content
  • Sublicensing to third parties, affiliated entities, or clients
  • Modification or derivative works without express written consent
  • Removal or alteration of any copyright or proprietary notices

For the In-House Build engagement, materials developed specifically for your organisation remain your property upon full payment, except for any underlying frameworks and methodologies developed by Statera, which remain ours.


07 Payment Terms

All fees are quoted and payable in Malaysian Ringgit (RM) unless otherwise agreed in writing.

Fees

  • New Hire Orientation: RM 540 per participant enrolment
  • Quarterly Refresher Subscription: RM 1,950 per year
  • In-House Programme Build: RM 4,200 per engagement (fixed scope)

Payment

  • Payment terms are confirmed at the point of engagement confirmation
  • Access to online modules is provided upon receipt of cleared payment
  • Consulting engagements may be subject to a deposit arrangement as agreed in the engagement letter

Refunds

  • Requests for refund on online modules must be submitted within 7 days of purchase, before module content has been accessed
  • Quarterly subscriptions are non-refundable once the first module of a subscription year has been released
  • For consulting engagements, fees paid for completed phases are non-refundable; deposits for uncommenced work are refundable with 14 days' written notice

08 Programme-Specific Terms

Online Modules (New Hire Orientation & Quarterly Refresher)

  • Module content is made available for the duration of the enrolment period or subscription year
  • Completion of modules does not confer any formal qualification or certification
  • Statera reserves the right to update module content to reflect current general awareness best practices

In-House Programme Build Engagement

  • Scope of work is confirmed in a written engagement letter prior to commencement
  • Scope changes requested after commencement may be subject to additional fees, agreed in writing
  • The client is responsible for providing timely access to relevant internal documents, contacts, and scheduling during the assessment phase
  • Delays caused by the client's unavailability may affect delivery timelines; Statera will not be held liable for such delays

09 Disclaimers

Services are provided on an "as available" basis. While we take reasonable care in the accuracy of our content, we make no representations or warranties regarding the completeness, currency, or fitness for purpose of any materials for your specific regulatory environment.

References to specific laws, regulations, or practices in our content are for general informational context only and should not be treated as comprehensive legal guidance.


10 Limitation of Liability

To the fullest extent permitted by Malaysian law, Statera's total liability to you in connection with any services provided under these Terms shall not exceed the total fees paid by you for the specific service giving rise to the claim in the 12 months preceding the claim.

We shall not be liable for:

  • Indirect, incidental, or consequential loss or damage
  • Loss of profits, revenue, business, or anticipated savings
  • Loss or corruption of data or information
  • Regulatory penalties or enforcement actions arising from your organisation's own conduct

Neither party shall be liable for delay or failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, government actions, or disruptions to essential infrastructure (force majeure).


11 Indemnification

You agree to indemnify and hold harmless Statera, its directors, staff, and representatives from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our services in violation of these Terms, your breach of applicable law, or any misuse of programme materials beyond the permitted licence scope.


12 Termination

Either party may terminate an ongoing service relationship by providing written notice. For subscriptions, termination takes effect at the end of the current billing year unless otherwise agreed. For consulting engagements, termination provisions are as specified in the engagement letter.

Statera reserves the right to terminate or suspend access to online programmes immediately if a user is found to be in material breach of these Terms. Sections relating to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.


13 Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.

Before commencing formal proceedings, the parties agree to attempt informal resolution by notifying the other party in writing and allowing 30 days for good-faith discussion. If the matter remains unresolved, either party may pursue formal legal proceedings or, by mutual agreement, refer the matter to mediation under the Asian International Arbitration Centre (AIAC).


14 General Provisions

  • Entire Agreement — These Terms, together with any engagement letter, constitute the entire agreement between the parties with respect to the services.
  • Severability — If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force.
  • Waiver — Failure by either party to enforce any right under these Terms shall not constitute a waiver of that right.
  • Assignment — You may not assign or transfer any rights under these Terms without our prior written consent. Statera may assign its rights in connection with a restructuring or change of control.
  • Notices — Formal notices under these Terms should be directed in writing to [email protected].

15 Changes to Terms

We may update these Terms from time to time. The "Last Updated" date at the top of this page reflects the most recent revision. Material changes will be communicated via a notice on our homepage for a reasonable period prior to taking effect. Continued use of our website or services after the effective date of a revision constitutes acceptance of the updated Terms.

Existing programme agreements already in progress will be governed by the Terms in place at the time the agreement was formed, unless both parties agree in writing to apply the revised Terms.
